(HBS) has launched a new online Name Amendment order form, giving clients a faster and more convenient way to request a company name change directly through our website. This new option helps simplify the process by allowing clients to submit the required information online, so our team can begin reviewing the request and preparing the filing more efficiently.

When a company is first formed, the name may be the perfect fit and convey the service the company provides. Over time, however, businesses can change. A new direction, updated branding, a merger, or a name that better reflects the company’s products or services may make a name change necessary.

The good news is that a Delaware company typically does not need to form a brand-new entity simply because it wants to change its name. In many cases, the company name can be changed by filing a Certificate of Amendment with the Delaware Division of Corporations.

Harvard Business Services, Inc. has helped clients with Delaware name amendments for many years. Now, with our new online Name Amendment order form, we are making the process even more convenient. Clients with eligible Delaware entities can request this service directly through our website, even if HBS is not currently serving as the company’s Delaware Registered Agent.

Our new online Name Amendment order form is available for the following Delaware entity types:

It’s important to note that before a name amendment can be filed, the new company name must meet Delaware’s naming requirements and be available for use in Delaware. Once the request is submitted, our team will review the information provided, check to see if the company name is available in Delaware, and help confirm the filing requirements that apply to the entity.

The name amendment service is currently $450 with services from HBS. Below, we’ll explain what is included with the service:

  • Applicable Delaware state filing fees
  • Preparation of the required amendment document
  • Electronic delivery of the document for electronic signature
  • Submission of the signed filing to the Delaware Division of Corporations
  • Delivery of the state-approved document via email

Our Filings Team typically prepares and sends the amendment for review and electronic signature within two business days. Once the signed document is returned, our team proceeds with the filing, and Delaware approval is typically completed in approximately seven business days. Please note that processing times are estimates and may vary based on the Delaware Division of Corporations’ workload and the specific details of the filing.

Below are other helpful features of the Name Amendment Order Form:

-The online form helps identify if the company owes Delaware Franchise Tax: A Delaware entity generally must be current with its required Delaware Franchise Tax obligations before a Name Amendment can be completed and filed. As part of the online process, clients may be alerted if the entity has past-due Delaware Franchise Tax obligations that need to be addressed before the filing can move forward. Identifying a franchise tax issue early can help avoid delays or surprises after the amendment request has already been started. Any past-due franchise tax, penalties, or interest due to Delaware are separate from the $450 Name Amendment service.

- Companies do not need to currently use HBS as their Delaware Registered Agent in order to request a Name Amendment through our online form: If another Registered Agent is currently listed, the company may also request to change to HBS as part of the same service request.

When an eligible company decides to change to HBS as its Delaware Registered Agent as part of the Name Amendment order, HBS will include the first year of Delaware Registered Agent service at no additional charge. Our team will include the additional Change of Registered Agent information needed to update the company’s Delaware record.

After the complimentary first year, the HBS Delaware Registered Agent service will be $50 per year per company. HBS has charged $50 per year per company for Delaware Registered Agent Services since 1981, and HBS guarantees that rate will never increase for the life of the company as long as the company remains in good standing.

After the Name Amendment is approved, what’s next?

The approved Certificate of Amendment changes the company’s name within the Delaware Division of Corporations records. However, it does not automatically update the company’s name everywhere else it conducts business.

Depending on the company’s situation, clients may also need to update their records with banks, the IRS, licensing agencies, vendors, customers, and other parties. If the company is foreign qualified to do business in another state, it may also need to update its registration in that state. It’s important to note that requirements can vary; therefore, clients should contact the appropriate agency or consult with a qualified legal or tax professional if guidance is needed for their specific situation.
