The Delaware LLC has become the entity of choice among
legal and financial professionals and accounts for more
than 67% of all new entities formed.
i Delaware General Corporation (INC)
For small or large companies with Shareholders and a
Board of Directors.
i Delaware Close Corporation (INC)
For the small close-knit group. Shareholders run the
company directly without a Board of Directors.
i Delaware Public Benefit Corporation (PBC)
Public Benefit Corporations (PBC) will be formed in a similar manner as any other General Corporation formed. The main difference is the Certificate of Incorporation will identify at least one public benefit supported such as; an educational, environmental, or cultural cause. The PBC will then be required to outline their efforts to that cause every two years in a statement to the Stockholders. The Public Benefit Corporation is a for-profit company, the only difference is a percentage of the profits go to a particular cause instead of all profits being paid to the Stockholders.
i Delaware Non-Profit Corporation (INC)
For charitable and religious organizations.
i Delaware Series Limited Liability Company (LLC)
A Delaware specialty, meant for the sophisticated
management of assets and/or funds.
i A limited partnership is typically comprised of
a general partner and limited partners. Limited partners may invest in the enterprise and share in its profits (or loss)
but do not participate in ongoing management or daily operations.
