2025 Delaware Annual Report Now Requires “Nature of Business”

Woman Completing QuestionnaireIf your Delaware corporation was active at any time during 2025, you’re required to file your 2025 Annual Report and pay the Delaware Franchise Tax by March 1, 2026. This is a firm deadline set by the Delaware Division of Corporations.

 Failing to file and pay on time will result in a $200 late penalty and 1.5% monthly interest on any unpaid tax balance. Filing on time keeps your company in good standing with the State of Delaware, which is often required to secure financing, open business bank accounts, or complete important business transactions.

New for 2025: Delaware Adds a “Nature of Business” Requirement

Starting with the 2025 Delaware Annual Report, all corporations must now include a “Nature of Business” section when filing.

When you complete the report, you’ll see a list of business activity categories. Simply select the one that best describes your company’s operations. If none of the options fit, you can choose “Other” and enter a short description of your business purpose.

This new section is mandatory for all Delaware corporations and helps the State gather better information about the types of businesses formed in Delaware.

Note: This update applies only to corporations. Delaware LLCs and LPs are not required to file an Annual Report. LLCs and LPs will continue to pay the $300 flat Franchise Tax each year.

Information Required to Complete the Delaware Annual Report

In addition to the new Nature of Business field, Delaware corporations must include several key internal details when filing the Annual Report:

  • The physical address of the company’s location (cannot be the Registered Agent’s address)
  • The name and address of one officer
  • The names and addresses of all directors
  • Authorization by an officer or director to file the report

All Delaware corporations must file the Annual Report electronically through the Delaware Division of Corporations website or through a registered agent such as Harvard Business Services, Inc.
