Owners typically choose to form a Delaware LLC if they want to start a company but have no plans to go public or issue shares of stock in their company.
i Delaware General Corporation (INC)
A general corporation has three tiers of power: shareholders, directors & officers. Each of these groups has different rights & responsibilities within the corporation.
i Delaware Close Corporation (INC)
A type of venture where the shareholders, directors & officers are typically the same people within a small, tight-knit group. Close corporations are restricted to no more than 30 shareholders.
i Delaware Public Benefit Corporation (PBC)
Is a special type of General Corporation. The main difference is the Certificate of Incorporation must identify at least one public benefit to be supported such as: an educational, environmental, or cultural cause. The PBC will then be required to use a specified portion of their profits to further their designated causes.
i Delaware Non-Profit Corporation (INC)
Personal gain is prohibited in a non-stock non-profit corporation, except as the benefits of membership imply.
i Delaware Series Limited Liability Company (LLC)
Each series is effectively treated as a separate entity, meaning the debts, liabilities, obligations and expenses of one series cannot be enforced against another series or the LLC as a whole.
i Delaware Limited Partnership (LP)
Typically comprised of a general partner and limited partners. Limited partners may invest in the enterprise & share in its profits (or loss) but do not participate in ongoing management or daily operations.

Company Name: The State of Delaware does not accept non latin characters, nor special characters in company name.

Note: enter the EXACT LLC name, including upper and lower case letters, spaces, and punctuation. LLCs must include: "LLC", "L.L.C." or the words "Limited Liability Company" to the end of your company name. If you do not provide one of the endings listed we will automatically add the letters "LLC" to the end of the company name.
