What Is a Registered Agent? (And Why You Need One)

By Michael Bell Monday, November 11, 2013

In this video, Harvard Business Services Founder & CEO Rick Bell explains what a Registered Agent is responsible for, why you need one to form a Delaware LLC, what happens if you do not retain one for your company and how to find the right Registered Agent for your company.

Transcript:

A registered agent is your liaison between your company and the state of Delaware.

Your registered agent is responsible for making sure you receive your franchise tax forms, notices from the Secretary of State, and any service of process you may receive if someone sues your company. It's important to make sure we have your current email address, street address, and phone number on file at all times.

It's required by law that you have a registered agent. Without a registered agent, the state will not file your documents for a new company. And if your current registered agent resigns on you and you fail to replace them in a timely manner, the state will void your company.

The best registered agent is the one that gives you the best service at the lowest price. LegalZoom charges you $159 per company per year. The Company Corporation charges $235 per company per year. Most others charge between $90 and $150 per company per year. The worst part is that these prices are subject to being raised at any time by these agents.

Since 1981, Harvard Business Services has charged only $50 per year per company to be your Delaware Registered Agent and we guarantee your annual registered agent fee will remain fixed at $50 per year for the life of your company. No other agent guarantees a fixed fee for the life of your company.

Besides our guaranteed low fee, you'll also get free lifetime customer support, free compliance coaching, and the fast and friendly service Harvard is known for. There's a reason why we’ve formed more than 100,000 Delaware companies for our clients and that reason is our friendly, excellent service.

If you have questions or would like us to be your Delaware registered agent, simply call, email, or live chat with us from our website.
