An Important Alert for All Delaware Corporations

A bogus solicitation was recently sent to numerous Delaware corporations directing the company to send them money for their Delaware corporation compliance.

These solicitations are coming from a company calling itself “Corporate Records Service” and informs the Delaware corporations that a $125 payment is needed in order to complete meeting minutes on behalf of the corporation. The Delaware Division of Corporations and Secretary of State’s Office is putting out an alert in order to prevent entities from responding and sending funds to the deceptive solicitation for a service that is not required.

The solicitation looks very official and apparently was sent at this time because March 1 is the due date for the annual Delaware franchise tax reports. However, any official notice will contain contact information for the Division of Corporations, as well as the Delaware Coat of Arms. The Delaware Attorney General’s office is actively investigating this hoax and is asking any Delaware Corporation that sent a payment to contact the Consumer Protection Unit of the Attorney General’s Office at (302) 577-8600 or 1-800-220-5424.
